Below are the terms and conditions of use for www.ewibe.com (the “Site”). The Site is operated by eWibe S.r.l. headquartered in Milan, 20123, via Gonzaga n.2, VAT 11884500965 (“eWibe”) and includes a peer-to-peer platform that allows users to access a marketplace where they can obtain market quotations, search, buy, sell, or store fine wine and alcoholic beverages (the “Platform”).

These Terms and Conditions of Use, our Platform FAQs (the “FAQs”), and all other requirements published on our websites, documents referenced in these Terms and Conditions of Use, and as periodically amended (collectively, “Terms”) describe the terms and conditions under which we provide our website (the “Site”), the Platform, services, data, software, and tools (collectively, the “Services”) to users.

In these Terms, “User” refers to (a) an individual who, by creating an account, accesses and/or uses the Services, (b) any electronic operator who accesses the Sites and/or uses the Services on behalf of an individual or company, and (c) the company on behalf of which an individual or electronic agent accesses the Site and/or uses the Services (hereinafter, the “User”).

In these Terms, “Verified User” refers to any User who has requested access to all the functionalities of the Platform and has completed the verification of their account pursuant to the following Paragraph 2 (hereinafter, the “Verified User”).

By using the Site and Services or by clicking to accept these Terms, the User agrees to be bound by and comply with these Terms in their entirety. If the User does not accept these Terms, they must not use the Site or any of the Services.

1. Changes to the Terms

At its discretion, eWibe may modify these Terms (including the FAQs or any other notice) at any time, and in such case will provide notice on our Site. It may also send an email and/or inform Users by other means. Unless the law requires the modification of the Terms with immediate effect, eWibe, where applicable, will notify Users of any changes that affect them by giving at least 5 days' notice.

Access to and use of the Site will be governed by the version of these Terms published on the Site at the time of access and bearing the relevant date. Each copy of these Terms and the Privacy Policy retained by us in electronic form or otherwise must be considered a true, complete, valid, and authentic copy of the version of these Terms and the Privacy Policy that were in effect on each respective date the Site was visited. eWibe reserves the right to suspend these Terms, refuse, restrict, or discontinue access to or use of the Services (or any part, component, or feature thereof) to the User or any other person or entity, in case of violation of the Terms or for any reason or no reason, at any time, without notice or liability.

Unless otherwise permitted by applicable law, eWibe will notify Users of the termination of all Services by giving 15 days' notice.

2. Registration and Account

To access the Site and Services, it is necessary to create an account using an email address and a password.

Account creation is only permitted for individuals residing in a member country of the European Union, aged over 18 years. At the time of registration, the User agrees to provide a copy of their identity document and a document capable of verifying their residential address to proceed with account verification. eWibe reserves the right to deny and/or limit the operation of the account to anyone who does not have a verified account. Each individual may have only one account.

By creating an account, the User agrees to provide accurate information and not to register under a false name or false age or use an unauthorized payment method. By using any Service, the User is responsible for maintaining the confidentiality of their account and password and for limiting access to their computer, agreeing to be responsible for all activities that occur under their account or password. The User agrees to immediately inform eWibe upon learning of any unauthorized use of their account or password, or any other unauthorized access or security breach. However, the User may be held liable for losses incurred by eWibe or any other person or entity due to another person using the account or password. It is not permitted to use, at any time, the account or password of any other User without explicit permission and authorization from the account or password holder. Transferring or assigning the account is not allowed.

To enjoy all Services, including placing purchase or sale offers for products on the Platform, the User who has already created the account must complete the verification process mentioned above and deposit funds through the Wallet system provided by Mangopay as described in the following Paragraph 10 to become a Verified User.

3. Membership

To fully leverage the potential offered by the Platform and access additional Services, eWibe offers Verified Users three types of membership:

To request membership, the User must have a Mangopay wallet, which will be automatically set as the default payment method for renewals. See Paragraph 10 for further details.

4. Platform Operation

eWibe allows Verified Users to list, sell, and buy products on the Platform.

eWibe acts as an intermediary, and the Platform aims to match purchase offers with sale offers through an order book structured for each individual product or product variant (for example, in cases where the same product is available in different variants or quantities).

Since Verified Users set the prices, these may be higher than the retail prices of products sold elsewhere. Any product valuation displayed through the Platform or Services is a mere estimate. eWibe does not guarantee that any product will be sold.

When a Verified User places a purchase order (bid), they are identified as a potential buyer of the product (the “Potential Buyer”). Each purchase order can be placed, modified, and revoked an indefinite number of times by the Potential Buyer. Upon submitting the purchase order, the Potential Buyer can define, through the appropriate order form, the conditions to apply to their purchase order. The maximum price at which the Potential Buyer commits to completing the transaction is the amount shown in the order confirmation, i.e., the purchase order amount plus the specified commissions. Each purchase order is therefore subject to confirmation by the Potential Buyer, who agrees to block the relative amount shown in the order confirmation on the default payment method to ensure the immediacy of the transaction and discourage any manipulation of the Platform. When a purchase order is accepted through the Platform or when a sale order reaches the same price as a purchase order, the Potential Buyer is identified as the buyer of the product (the “Buyer”) and the purchase order becomes final, irrevocable, and binding, pursuant to the following Paragraph 7. Consequently, the subsequent provisions for transaction finalization and payment management by eWibe will apply.

When a Verified User places a sale order (ask), they are identified as a potential seller of the product (the “Potential Seller”). Each sale order can be placed, modified, and revoked an indefinite number of times by the Potential Seller. Upon submitting the sale order, the Potential Seller can define, through the appropriate order form, the conditions to apply to their sale order. Each sale order is subject to confirmation by the Potential Seller, who agrees to receive as consideration for the sale the price stated in the order confirmation, including the specified commissions. Therefore, the minimum consideration the Potential Seller agrees to receive for the transaction is the sale offer price minus the specified commissions. When a sale order is accepted through the Platform, or when a sale order reaches the same price as a purchase order, the Potential Seller is identified as the seller of the product (the “Seller”) and the sale order becomes final, irrevocable, and binding, pursuant to the following Paragraph 6. Consequently, the subsequent provisions for transaction finalization and payment management by eWibe will apply.

Transactions can also be completed through direct purchase or direct sale; in such cases, the Verified User can purchase the product directly at the lowest available price on the order book (best ask) without needing to place a purchase order, or can sell the product at the highest available price on the order book (best bid). In such cases, the transaction will be final, irrevocable, and binding for both Buyer and Seller. Once the transaction is completed, each direct purchase and each direct sale will be subject to payment of commissions calculated as a percentage of the transaction value, which are displayed on the transaction confirmation page that, upon confirmation by the Verified User, will be immediately charged to the Buyer’s and Seller’s default payment methods. The commissions will always be the same as those shown in the order confirmation for the Verified User who has placed a sale or purchase order that has been subject to direct purchase or sale.

The Platform does not allow placing both a sale order and a purchase order for the same product simultaneously. In all the above cases, the contract is always concluded between Buyer and Seller provided that the authenticity of the product has been previously approved by eWibe. If the product is not already available at eWibe’s warehouse, it can still be shipped by the Seller, and in such cases, the transaction will be successfully concluded only upon receipt and authentication. For all details on the authentication process, refer to the following Paragraph 8. Further description of the procedures and rules of the Platform applicable to Sellers and Buyers is available on our FAQ page, updated periodically. While eWibe, as the provider of the Platform, helps facilitate the operations carried out on the Platform, eWibe is neither the buyer nor the seller of the products. eWibe provides a place for Sellers and Buyers to negotiate and complete transactions. Consequently, the contract concluded upon the completion of a sale for such third-party products is exclusively between the Buyer and the Seller. Although eWibe may provide historical price data to Users, it does not set prices for products and is not an auctioneer.

5. Obligations of eWibe

eWibe commits to providing the Services and managing the Platform by ensuring the professionally required diligence and making every commercially reasonable effort to ensure the accuracy of transactions and information on the Site.

eWibe is a third party in every transaction, and therefore the User indemnifies it from any liability regarding the inability to complete any of these transactions. In the event that a transaction cannot be successfully completed, even after confirmation, eWibe commits to immediately restoring the funds to the User’s default payment method.

eWibe also commits to constantly updating these Terms to ensure the most correct execution of operations on the Platform and an adequate level to the standards required by Users in providing the Services. Therefore, the User is required to periodically check these Terms, based on the communications sent by eWibe from time to time. eWibe commits to providing assistance on all issues related to the operation of the Platform, the provision of Services, and the interpretation of these Terms, by providing Users with customer service at the address: help@ewibe.com.

6. Obligations of the Seller

By placing a sale offer for a product, the Potential Seller makes a binding offer to sell that specific product to a User, who will purchase the product at the price specified. When a Buyer accepts the offer by purchasing the product through the Platform, the Seller is contractually and legally bound to sell that exact product at the price specified in the order confirmation. Each transaction will be instantaneous and automatically managed by the Platform.

The Seller is required to ensure that the product in the sale offer exactly matches the image on the product page and complies with applicable conditions. eWibe will instruct the crediting of the transaction consideration to the Seller within a reasonable time from the conclusion of the sale, which occurs instantaneously and automatically when the Buyer is charged on their payment method. To view the applicable commissions on sales operations, please refer to the order confirmation, also in your account's reserved area, and our FAQs.

Upon concluding the sale, the sold product will no longer be available in the Seller’s reserved area, and the ownership transfer of the product will be automatic. eWibe acts exclusively as an intermediary between Sellers and Buyers. eWibe assumes no responsibility regarding the correct execution of the sales contract that the Seller may conclude with the Buyer through the Platform, except for the specific obligations of eWibe described in Paragraph 5 of these Terms.

7. Obligations of the Buyer

Each Verified User can place a purchase offer for a product available on the Platform. When a purchase offer matches a sale offer, or a direct sale is made by a Seller, the Buyer is obliged to pay for that specific product. When the Potential Buyer makes a purchase offer, they commit to buying the product as soon as their offer matches the Seller’s asking price and acknowledge that the payment of the price will be automatically charged to the default payment method. To be an eligible Buyer, it is necessary to have a billing address and a shipping address in one of the countries supported by eWibe. In general, we charge the payment method immediately after the purchase, and upon completion of the transaction, we pay the Seller. The ownership transfer will therefore be instantaneous upon transaction completion, and the Buyer will be able to view the purchased product in the reserved area of their account.

To ensure the correct functioning of the Platform and the immediacy of transactions, avoiding fake offers, at the time of placing a purchase offer, the equivalent liquidity amount of the purchase offer will be temporarily blocked on the default payment method. The Verified User can therefore view within the reserved area of their account all the purchase offers made and the blocked liquidity. Upon cancellation or modification of a purchase order, the blocked liquidity will be immediately unblocked, reduced, or increased based on the modification made. No interest or commission is due on the purchase amount while the purchase offer is in progress.

If the Buyer encounters any issues with the purchase order or the purchased product, they are requested to contact customer service at: help@ewibe.com.

It is understood that the prices displayed on the product pages do not include shipping costs and any applicable commissions that will be applied to the purchase order, and do not include the service fee. The final price, including expenses and costs, is always the one stated in the order confirmation.

8. Listing and Authentication

Every product available for sale through the Platform is unconditionally subject to the authentication process conducted by eWibe.

For the purposes of this paragraph, “listing” refers to the procedure by which a Verified User lists a product on the Platform, both regarding storage in the online cellar and for sale on the platform (hereinafter, the “Listing”). For more information on product storage through the Platform, refer to Paragraph 11.

The Verified User is required to carefully inspect the product before proceeding with the Listing on the Platform and to ensure they possess all the necessary documentation that eWibe may require during the authentication process. Therefore, the Verified User agrees that the authentication process conducted by eWibe will not be subject to appeal and/or conditions.

As part of the Listing, the Verified User must ship the product to eWibe according to the methods agreed with them and according to the instructions periodically updated on the FAQs. eWibe will make every commercially reasonable effort to confirm the authenticity of the product and that it meets the standard conditions for Listing, as defined in the FAQs. If eWibe cannot reasonably confirm the authenticity of the product or determines that it is not authentic or does not meet the standard conditions, it will inform the Verified User that the product did not pass the authenticity examination and will charge the Verified User the return shipping costs. Additionally, eWibe has the right to refuse any product for any reason, including but not limited to, lack of authenticity, failure to meet standard conditions, or presence of damage to the product, such as alterations and/or damages to labels and/or packaging.

Before proceeding with the Listing, the Verified User must accept the preliminary valuation provided by the Platform for that specific product, which will serve as the taxable base for the application of all Listing-related commissions.

To ensure the integrity of the Platform, the correctness of exchanges, and to discourage any improper practices, in the event that the authentication process results in a negative outcome, the Verified User may be charged on their default payment method a penalty equal to the greater of €50.00 or 15% calculated on the market price, as resulting from the preliminary valuation provided by eWibe at the time of Listing. For further sanctions and/or measures that may be taken by eWibe in the event of confirmed or suspected counterfeiting or attempted manipulation of the Platform, refer to Paragraph 13.

The time required for the authentication process is between a minimum of 2 hours from receipt of the product and a maximum of 72 hours.

9. Payments

To make and receive payments on the Platform, the User must activate a Mangopay wallet as specified in the following Paragraph 10.

Once the Mangopay wallet is activated, it will be automatically set as the default payment method for all payments made and/or received by users.

The User acknowledges that eWibe acts solely as an intermediary and therefore, through the Platform, manages the flows related to the purchase and/or sale of products as well as the blocking and unblocking of amounts related to a purchase order or a sale order. The only exception exclusively concerns payments for membership, commissions, and penalties that will be collected directly by eWibe. Consequently, eWibe commits to sending instructions for the debit and/or credit to the Mangopay wallet within a maximum of 24 hours from each individual transaction.

The User expressly acknowledges that eWibe, in its capacity as an intermediary, cannot be held responsible for the payment of any amount to the User and cannot guarantee the completion of any sale or purchase operation except within the limits of proper Platform management, pursuant to these Terms.

10. Mangopay Wallet

To use all the functionalities of the Platform and proceed with account verification, and therefore publish sale or purchase offers for any product, the User must open a wallet with Mangopay and deposit funds, agreeing to Mangopay's Terms of Service available at the following address.

All funds and payments made through the Mangopay wallet will be managed entirely by Mangopay. By accepting Mangopay's Terms of Service, the User authorizes eWibe to share their personal data with Mangopay to proceed with account opening and is responsible for the accuracy and completeness of such data. The User is aware that they will have access to the Mangopay wallet exclusively through the Site and will manage their Mangopay wallet through the account created with eWibe.

To the extent permitted by applicable law, eWibe is exempt from any liability for disputes related to the use of the Mangopay wallet or issues with the chosen payment methods.

Funds available in the Mangopay wallet can be withdrawn by the Verified User at any time using the appropriate procedure provided by Mangopay and accessible in the reserved area of their account.

11. Storage and Transport

Among the various Services offered to the User through the Platform, eWibe offers the storage and transport of products that can be sold and/or purchased on the Platform itself.

The storage of products purchased or to be sold on the Platform is optional and subject to payment of commissions by the Verified User (the “Storage Commissions”) which must be accepted by the User and are charged to the default payment method at the time of Listing. Products stored at eWibe’s warehouse are always covered by insurance against theft and accidental damage. In the event of theft or destruction of the product, the User will be recognized an amount equal to the market value of the product shown at the time of Listing or, in the case the product was purchased on the Platform, an amount equal to the purchase price of the said product.

Shipping of products purchased on the Platform is mandatory if the Verified User has not opted for product storage. Shipping will be carried out by eWibe’s provider to the address indicated by the Verified User during registration, as well as to another address that must be previously verified by eWibe as indicated in the previous Paragraph 2. Shipping of products purchased or in storage is always subject to payment of commissions (the “Unblocking Commissions”) which are displayed to the User on the purchase order confirmation page or in their reserved area and which the User must accept to complete the operation. Shipping of products purchased on the Platform is not insured. If a User wishes to request the insurance service, subject to an additional cost, they must contact eWibe’s customer service in advance at: help@ewibe.com, to obtain an estimate.

If the Verified User encounters any problem with a delivered product, they must contact eWibe with a detailed description of the problem. eWibe's verification labels and stickers attached to the products must not be removed.

The User hereby releases eWibe, now and in the future, from any liability for alteration of the taste of the delivered product.

12. Intellectual Property

The User acknowledges and agrees that (i) the patents, copyrights, registered trademarks, product trademarks, trade secrets, and other intellectual properties of eWibe (collectively, “Intellectual Property”) are the exclusive property of eWibe, and (ii) nothing in these Terms will in any way grant the User any ownership rights or license rights to the Intellectual Property. Furthermore, the User shall not challenge the validity of the Intellectual Property now or in the future. Subject to the foregoing, the Services, including but not limited to all texts, graphics, logos, buttons, icons, images, audio clips, and computer programs, are owned by eWibe or its licensors or suppliers and are protected by Italian and international intellectual property laws (including copyright and registered trademark laws). The compilation (i.e., the collection, arrangement, and assembly) of all content associated with the Services is the exclusive property of eWibe and is protected by Italian and international intellectual property laws (including copyright law). Any unauthorized reproduction, modification, distribution, transmission, republication, display, or performance of the software or content through our Services is strictly prohibited.

eWibe grants Users a personal, non-exclusive, non-transferable, revocable, and limited license to use the Platform and Services solely for personal or internal use, subject to the condition that the User (who will not allow any third party to do so) does not copy, modify, create a derivative work, reverse engineer and reassemble or otherwise attempt to discover any source code, sell, assign, sublicense, warrant, or otherwise transfer any rights to or access to the Site, Services, or any other content available through the Site or Services. All rights not expressly granted to Users in these Terms are reserved and held by eWibe.

13. Counterfeiting and Manipulation of the Platform

eWibe is committed to discouraging counterfeiting, fraud, and manipulation of the Platform with the utmost dedication. If a User provides a counterfeit product or attempts to defraud other Users or eWibe, eWibe reserves the right to undertake some or all of the following actions, at its sole discretion: (i) remove all of the User's buy and sell offers from the Platform; (ii) cancel all ongoing orders on the Platform; (iii) suspend any payments due to the User; (iv) limit the Verified User's buying and selling privileges; (v) resend the product to the User at the User’s expense (including any customs duties and fees incurred by eWibe); (vi) provide the counterfeit products to law enforcement or destroy them; (vii) temporarily or permanently suspend the User's account; and (viii) charge the Verified User's payment method a minimum amount of €100.00 or an amount up to 15% of the total transaction at eWibe's sole discretion, as a service fee. By this, the User agrees that each of the aforementioned remedies is reasonable and justified at the time of eWibe's discovery of counterfeit products or fraudulent actions, even if at that time such products or actions were not known to the User as counterfeit or fraudulent (e.g., intentional wrongdoing). The User understands and agrees that if eWibe provides the counterfeit product to law enforcement, the User's communications and any ownership claims related to that product must be made only with law enforcement and not with eWibe.

To ensure the integrity of the Services, eWibe may require Users to provide additional identification data if certain high-value transactions or high payment volumes are conducted through eWibe.

If a Buyer receives a product that they believe to be counterfeit, the Buyer must notify eWibe in writing within 3 days of receiving the product, and eWibe will conduct a further investigation of the product. The Buyer must cooperate with eWibe in the investigation and final handling of the product, including providing photographs and other evidence of the product, providing the product to law enforcement, destroying the product, or resending it, upon eWibe's instruction. If we decide that the Buyer should destroy the product, the Buyer will provide eWibe with reasonable proof of destruction. We will reimburse all expenses and costs incurred by the Buyer for the product (including shipping and transportation). In no case may a Buyer resell a product (on eWibe or elsewhere) that is reasonably believed to be counterfeit.

eWibe may monitor the integrity of the Platform and may intervene to protect the correctness of exchanges and discourage any fraudulent uses or actions damaging eWibe's reputation, as established by eWibe at its sole discretion (e.g., if eWibe believes that a Seller or Buyer is engaging in market manipulations or fraud, including creating fake or “dummy” accounts). If eWibe believes that a User is attempting to interfere with free and fair operations on the Platform, or creates artificial, false, or misleading information, or presumably misleading information regarding the price or demand of a product on the Platform (all at eWibe's sole discretion), then, without limiting any other rights of eWibe, eWibe reserves the right to undertake one or more of the following actions, at its sole discretion: (i) remove some or all of the User's listings from the Platform; (ii) cancel some or all of the User's ongoing orders on the Platform; (iii) suspend some or all of the payments due to the User; (iv) limit the User's buying and selling privileges; (v) report fraudulent activity to law enforcement; (vi) temporarily or permanently suspend the User's account; and (vii) charge the User's payment method an additional amount up to €1.000 to cover eWibe's analysis costs and other related expenses.

14. Limitation of Liability

To the extent permitted by applicable law, the User agrees not to sue eWibe, and agrees not to hold eWibe liable for the content, actions, or inactions of other Users. The User agrees to purchase products from a third party, not from eWibe. While acting as an intermediary, eWibe may assist Users in facilitating dispute resolution, but does not have control over it and does not guarantee the accuracy, quality, safety, truthfulness, or legality of what other Users do on the Platform, the listings, and/or the products listed or sold.

To the extent permitted by applicable law, eWibe and/or our third-party suppliers or licensors do not declare, guarantee, or commit that the Platform and Services are or will be accurate, current, free from technical or typographical errors, secure, reliable, or suitable for any particular use the User or any third party chooses to make of them; that they are or will be available on an uninterrupted or error-free basis; that defects will be corrected; or that the system and services will be free from viruses or other disabling devices or harmful components. eWibe periodically improves, modifies, adds, deletes, updates, or corrects the Platform and Services without notifying. Furthermore, to the extent permitted by applicable law, eWibe assumes no responsibility for any errors or omissions in the content of the Platform or Services. eWibe specifically declines any duty to update content or any other information regarding the Services.

To the extent permitted by applicable law, the User agrees to use the Services at their own risk and that the Services are provided "as is" and "as available". eWibe (including any of its service providers or licensors) does not provide any warranties of any kind regarding our Services, any product, any User's content, or that Buyers and Sellers will behave as promised. Consequently, to the extent permitted by applicable law, eWibe disclaims all implied or express warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, ownership, non-infringement of third-party rights, and any warranties implied by the execution of a contract, negotiations, or commercial practices.

The liability of eWibe or its affiliated companies, and our and their respective officers, directors, agents, employees, representatives, and suppliers, arising from or related to these Terms or the use of the Platform and/or Services, including, without limitation, performances, failures to perform, or breaches of contracts and tort actions, will be limited to the lesser of (i) the amount of any refund of the price for any product or service involved in the dispute, and (ii) a maximum amount of €100.00.

Except as otherwise provided, to the extent permitted by applicable law, the User agrees not to sue or hold eWibe liable, including, without limitation, for any liability for (i) errors or omissions in relation to the availability of listings, descriptions, conditions, quality, quantity, completeness, accuracy, precision, timing, shipping, execution, or location of any product or other content available on the Services or otherwise described or offered through the Services; (ii) statements, conduct, or omissions of Sellers, Buyers, or other Users of eWibe on the Platform or through the Services; (iii) failure of a Seller or Buyer to complete a transaction; (iv) loss of money, business, or reputation; (v) calculation errors, system errors, or system decisions, including any temporary suspension of access to the Platform or Services; (vi) any damages caused by system malfunction or disconnection, system errors, or programming errors; (vii) any other action, event, or inaction arising from or related to the use of the Services, or that is not under our direct control.

eWibe declines all liability for any damage or loss arising from, or related to the following events: (i) cyberattacks, viruses, tampering, unauthorized intervention on the Services, fraud, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, telephone line failures, or any other technical malfunction of the Services; (ii) failure to receive, incorrect transmission, delays, or any other communication or correspondence error; (iii) failures, errors, or difficulties arising from force majeure or circumstances beyond eWibe's reasonable control. eWibe declines all liability for any typographical or printing errors contained in materials, advertisements, or documentation related to the Services or these Terms.

To the extent permitted by applicable law, eWibe will not be liable for any loss, damage, or injury suffered by any User or other party (including, without limitation, direct, indirect, incidental, consequential, special, or exemplary damages or loss of profits, business, use, or data) arising from the Services, or any activity or service associated with the Services, or the inability to access the Services, regardless of whether the action or claim is based on contract, tort, civil wrongdoing, negligence, breach of duties, or other premises.

16. Complaints and Dispute Resolution

In case of complaints related to the use of the Platform or Services, or any disputes arising from these Terms, the User is invited to contact our customer service at: help@ewibe.com.

The parties agree that any dispute, claim, or controversy arising from or related to these Terms or the use of the Services (collectively, "Disputes") shall be resolved amicably between the parties. If amicable resolution is not possible, the Disputes shall be subject to the exclusive jurisdiction of the Court of Milan.

17. Final Provisions

Should any provision of these Terms be deemed invalid or unenforceable, such provision shall nonetheless be applied to the maximum extent permitted by applicable law, and the remaining part of the Terms shall continue to remain fully valid and effective. These Terms constitute the entire agreement between the parties regarding the subject matter of this document and supersede any prior or contemporaneous agreement, whether written or oral, relating to such subject matter. No waiver of any term or condition of these Terms shall be considered a continuing waiver of such term or condition or of any other term or condition, and the failure to exercise or apply any right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms are governed by and construed in accordance with Italian laws. Any disputes arising from the interpretation or application of these Terms shall be subject to the exclusive jurisdiction of the Court of Milan.
